Interpretation and Definitions
Interpretation
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

For the purposes of these Terms and Conditions:
Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.
Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Task Engine, operated by Andrei Maguleanu.
Country refers to Romania.
Device means any device that can access the Service such as a computer, a cellphone, or a digital tablet.
Service refers to the Website and all consulting, automation, and operations services provided by Task Engine.
Terms and Conditions (also referred to as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
Third-party Service means any services or content (including data, information, products, or services) provided by a third-party that may be displayed, included, or made available by the Service.

You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.
Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users, and others who access or use the Service.
By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.
You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.
Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use, and disclosure of Your personal information when You use the Website and tells You about Your privacy rights and how the law protects You. Services Provided
Task Engine provides operations automation consulting services for service businesses, including but not limited to:
Operations audits and process documentation
Workflow automation and system integration
Team training and ongoing operational support
Strategic consulting and implementation guidance
All services are provided subject to a separate Service Agreement that will outline the specific scope, deliverables, timeline, and pricing for your engagement.
Client Responsibilities
When engaging with Task Engine services, You agree to:
Provide accurate and complete information about your business operations
Grant necessary access to tools, systems, and team members required for service delivery
Respond to information requests in a timely manner
Maintain confidentiality of any proprietary methodologies or materials provided by Task Engine
Pay all fees according to the agreed payment terms
Intellectual Property
Client-Specific Deliverables
All process documentation, automation workflows, and custom systems created specifically for your business during our engagement become your property upon full payment of all fees.
Task Engine Proprietary Materials
Task Engine retains ownership of all proprietary methodologies, templates, frameworks, and general tools used in service delivery. These materials may not be resold, redistributed, or used to provide similar services to third parties without explicit written permission.
Payment Terms
Project-based engagements require 50% payment upfront and 50% upon completion
Retainer agreements are billed monthly in advance
Consulting engagements are billed monthly based on agreed terms
All payments are due within 7 days of invoice date
Late payments may result in suspension of services and incur a 5% monthly late fee
Refunds are handled on a case-by-case basis and subject to the specific terms outlined in your Service Agreement
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This includes but is not limited to:
Business processes and operational data
Financial information
Customer data and trade secrets
Proprietary methodologies and tools
This obligation continues for 2 years following the termination of services.
Service Limitations and Disclaimers
While Task Engine strives to deliver high-quality operations automation services, we cannot guarantee specific business outcomes such as revenue increases, cost savings percentages, or productivity improvements. Results may vary based on factors outside our control, including:
Client implementation and adherence to documented processes
Team adoption and proper use of implemented systems
Third-party tool functionality and availability
Market conditions and business environment changes
Task Engine is not responsible for issues arising from client modifications to delivered systems without our consultation or guidance.
Links to Other Websites
Our Service may contain links to third-party websites or services that are not owned or controlled by the Company.
The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.
Termination
By Client
You may terminate services at any time with 30 days written notice. For project-based engagements, early termination requires payment for work completed to date. For retainer agreements, you are responsible for payment through the end of the current billing cycle.
By Task Engine
We may terminate or suspend Your access immediately, without prior notice or liability, for any reason including:
Non-payment of fees
Breach of these Terms and Conditions
Abusive or disrespectful treatment of our team members
Requesting services outside our scope or expertise
Upon termination, Your right to use any ongoing Service will cease immediately. Completed deliverables will be provided to you subject to full payment of all outstanding fees.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Task Engine or its operators be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, business interruption, or any other commercial damages or losses) arising out of or in connection with the use of or inability to use the Service, even if Task Engine has been advised of the possibility of such damages.
The entire liability of Task Engine under any provision of these Terms shall be limited to the amount actually paid by You for the specific services in question, or $1,000 USD, whichever is less.
"AS IS" and "AS AVAILABLE" Disclaimer
The Service is provided to You "AS IS" and "AS AVAILABLE" with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
Governing Law
The laws of Romania, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.
Any disputes arising from these Terms or the Service shall be resolved through good faith negotiation first, and if necessary, through arbitration in accordance with Romanian law.
Changes to These Terms and Conditions
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.
By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.
